SECTION 4 - METHODS OF ANALYSIS, SOURCES OF INFORMATION, AND INVESTMENT STRATEGIES

Clifton Myers Financial Advisory, Inc. uses economic models to best determine the most appropriate place to invest. It will add technical analysis at times to determine the best time to invest in these investments. The investment adviser will gather information from several sources including financial newspapers and magazines, research materials prepared by others, company press releases, and annual reports, prospectuses, and filings with the Securities and Exchange Commission.

The investment adviser is primarily trying to determine the most appropriate investments to be in at the most appropriate time. For the most part purchases are designed to last at least a year in length, but depending on the economic environment, purchases could be less than a year and possibly even less than 30 days. It is also possible that the investment adviser will short the market, make purchases on margin, or write covered call options.

SECITON 10 - CONDITIONS FOR MANAGING ACCOUNTS

There is a $100,000 minimum for using Clifton Myers Financial Advisory, Inc.'s investment management services. Financial planning services also require a minimum of $100,000 of investable assets. There are possible exceptions to the minimum and each case is in effect negotiable depending on the potential influence of the client over other prospects.

SECTION 11 - REVIEW OF ACCOUNTS

Clifton Myers is the only employee that will review accounts. All accounts are reviewed at least quarterly.

The adviser will determine whether the most likely area of appreciation will occur in either U.S. stocks, foreign stocks, U.S. bonds or whether cash is the only safe investment. The decision is based on earnings yield evaluations of the various investment choices. The adviser will invest the client's portfolio in the investment that presents the most favorable earnings yield in relation to the others. Trending analysis will also be performed and no investment will be made unless that investment is showing a positive trend. Stop losses will also be used.

Some investors may choose only to invest in the above described manner. Others will want to add additional investment options in order to try and make money in potential down markets. Some investments will be made to take advantage of inflationary environments, rising interest rate environments, major trend changes in the value of the dollar versus other currencies, and possibly shorting the stock or bond market.

The primary investment will be exchange-traded funds and mutual funds as these investments present the lowest cost with the flexibility to move in and out of the desired investment areas with ease. Transaction costs on the exchange-traded funds are determined by the broker and clearing house used. Mutual fund costs will vary according to the mutual fund but most, if not all, will never incur sales charges. Individual stocks or bonds could be purchased or sold short at times when the market reflects really strong long-term conditions for these investments. This will represent the vast majority if not all of the investments, however, no investment is ruled out completely if the adviser sees an opportunity to safely invest and make money on it.

All accounts will be reviewed at least quarterly. However, at times the investment analysis models used may suggest a more frequent review. Stop losses will also be used which could trigger short term trading activity.

Some clients may find the "buy and hold" strategy to be the best for their situation. These clients will be invested in mutual funds, variable annuities and variable life. These clients will also have their accounts reviewed quarterly for potential reallocation, rebalancing or changing funds due to poor performance or fund manager turnover. "Buy and hold" clients are not the focus of Clifton Myers Financial Advisory, Inc. but these services are available to clients where this strategy fits their needs and situation.

Quarterly reports will be mailed to clients indicating their quarterly and yearly beginning and ending balances, investment profit or losses, and contributions. It will also include their current holdings and any transaction history of the past quarter. Clients are communicated with when any changes are made to their portfolio as to why the changes were made and why the investment models suggested a change. Clients will also be communicated with every quarter regarding what the investment models are suggesting even when no trades or changes have incurred.

SECTION 12 - INVESTMENT OR BROKERAGE DISCRETION

All accounts are established on a discretionary basis meaning Clifton Myers Financial Advisory, Inc. will have the authority to make trades on the account without receiving the client's permission. This authority will extend to the types of securities to be bought or sold, the amount of securities to be bought or sold, and often what broker will be used to purchase the securities.

Clifton Myers Financial Advisory, Inc. will direct clients to a broker that the adviser is familiar with. The broker will have the ability to allow discretionary authority, the ability to make block trades, the ability to withdraw fees from the account, and the ability to provide the client's statements. The client may use any broker desired as long as the above criteria is met. In absence of that, the adviser will steer the client to the desired broker
